We assist in the facilitation of commercial purchase and sale transactions, ensuring that the necessary terms are included in the deal sheet or letter of intent to protect our clients’ interests. We participate in all aspects of due diligence, including the review and analysis of environmental reports, existing leases, surveys, title reports, and rent rolls. For clients making improvements to commercial properties, we review and negotiate architect and contractor agreements, in addition to advising on various aspects of construction and rehabilitation projects.

Our commercial real estate expertise includes the negotiation and drafting of letters of intent (LOIs), memoranda of understanding (MOUs), purchase and sale agreements, as well as various loan documents. We work with lenders, opposing counsel and all necessary parties to coordinate leases, SNDAs, tenant estoppel certificates, corporate resolutions and insurance documents. Our firm services also include arranging 1031 exchanges and advising on all aspects of financing.
Leasing
K Diffley Law provides commercial leasing services to clients on all sides of leasing transactions. We draft and negotiate various commercial leasing agreements, including triple net and gross leases, retail lease transactions, industrial leases, office leases, restaurant leases, ground leases, sale-leaseback transactions, subleases and lease assignments.
